Chairman & Independent Non-Executive DirectorTan Sri Datuk (Dr.) Rafiah binti Salim

Tan Sri Datuk (Dr.) Rafiah binti Salim was appointed as the Non-Executive Chairman of our Company on 22
January 2010. She is also the Chairman of our Remuneration Committee and member of the Audit
and Nomination Committee. She holds Bachelor of Laws and Master of Laws degrees as well as
an Honorary Doctorate from Queen's University of Belfast. She is a certified Advocate &
Solicitor of the High Court of Malaya.
Tan Sri Datuk (Dr.) Rafiah's career experience include being appointed as the Dean of Faculty of Law and
as the Vice Chancellor of University of Malaya, as General Manager of the Human Resource
Department at Maybank, as Assistant Governor for the Security Department, Legal Department and
Property and Service Department at Bank Negara Malaysia, as Executive Director of International
Centre for Leadership in Finance, and as Assistant Secretary General for Human Resource
Management, United Nations in New York.
She is currently also the Non-Executive Director for Nestle (Malaysia) Berhad, Cerebos
(Malaysia) Sdn Bhd and the National Entrepreneurship Board (PUNB), and manages the NAM Institute for
the Empowerment of Women.
Managing DirectorRobert George Hercus @ Abdul Karim Hercus

Robert has more than 35 years of working experience in the field of information science,
specialising in large scale computing infrastructure and computationally-intensive projects.
He obtained his B.Sc. (Hons) degree, majoring in Information Science from Monash University, Australia.
Robert moved to Malaysia in 1972 to set up the country's first Computer Science course at the
Mara Institute of Technology. After serving as a Lecturer there for more than four years, he
subsequently ventured into IT consultancy and was engaged by various Government agencies and
private companies. Robert is most identified by his involvement in the establishment and implementation
of the IT infrastructure and applications for Projek Lebuhraya Utara Selatan Sdn Bhd (PLUS).
His development of automatic toll collection and the Touch 'n Go card systems were the first in
the world for tolls and multi-company settlement. He also acted as an Advisor to Time Telekom Bhd
on the establishment of their fibre optic network and to PUTRA on the establishment of their IT
infrastructure to support their future Light Rapid Transit operations.
Robert established MGRC's ultimate holding company, Neuramatix Sdn Bhd, in 2001 focusing on the
creation of intelligent applications and devices in various domains including bioinformatics,
machine translation, and advanced robotics. He is the inventor of the NeuraBASETM technology which
is the basis for most of the applications developed by Neuramatix and its subsidiary companies.
Robert currently sits on the Board of the Neuramatix Group of Companies.
Executive DirectorMunirah binti Haji Abdul Hamid

Munirah earned her LL.B. (Hons) from the University of London and has 36 years of experience in various businesses since the early 70s, among others, as Managing Director and Chief Editor of a publishing house, and as Executive Producer in producing programmes for television. In the late 1970s, jointly with her husband, Robert Hercus, she set up the first independent software house in Kuala Lumpur. In addition, she is an active social worker who has contributed significantly to society for close to 40 years for the betterment of women and children in education. Working together with her childhood friends and other volunteers, Munirah is the main coordinator of a Soup Kitchen project for the benefit of the homeless in Kuala Lumpur.
Besides holding the Executive Director position in MGRC, Munirah is also the Managing Director of our holding company Synamatix and ultimate holding company Neuramatix Sdn Bhd. She is instrumental in driving the strategic operations of the group and is responsible for the accounting, legal, and administrative functions of our Company, including staff recruitment and career development of our employees.
Executive DirectorDato' Dr Norraesah binti Haji Mohamad

Dato' Dr Norraesah binti Haji Mohamad was appointed as the Executive Director of our Company on
22 January 2010 and is a member of our Remuneration Committee. Her impressive list of academic
qualifications include a B.A. (Hons) in Economics from University of Malaya, a Diploma in Commercial
Policy from General Agreement on Tariff & Trade, Geneva, Switzerland, a Masters Degree in International
Economic Relations from the International Institute of Public Administration, Paris, France, as well
as a Masters Degree in International Economics and Finance and a Ph.D. in Economic Science from
University of Paris I, Pantheon-Sorbonne, France.
She has over 37 years of working experience within public and private sectors in the fields of banking,
consultancy and international trade and commerce. Among the organisations that Dato' Dr Norraesah had served
in the past were the Ministry of International Trade and Industry, the Ministry of Finance, ESSO Production
Malaysia Inc., and the Credit Lyonnais Bank in Malaysia. She was also the Chairman of Angkasaraya Development
Berhad, Bank Kerjasama Rakyat Malaysia Berhad and Alcatel Network Systems (M) Sdn Bhd. In 2006, Dato' Dr
Norraesah was awarded the coveted Chevalier de La Legion d'Honneur from the French Government.
Presently she is the Executive Chairman of My E.G. Services Berhad and Embunaz Ventures Sdn Bhd. She is also
the Chairman of Penang Bridge Sdn Bhd and Malaysia France Institute respectively. She sits as a board member
in 5 other listed companies. In addition, Dato' Dr Norraesah is one of the three members of the World
Islamic Economic Forum (WIEF) Board of Trustee, sitting as a member of its International Advisory Panel and
is Chairman of the WIEF Businesswomen Network.
Non-Independent Non-Executive DirectorAhmad Fauzi bin Ali

Ahmad Fauzi was appointed as an Non-Independent Non-Executive Director of our Company on 12
January 2005. He is also the Chairman of our Nomination Committee and a member of the Audit and
Remuneration Committee. He earned his B.Sc. (Hons) in Computation from the University of Manchester,
Institute of Science and Technology, United Kingdom.
He has over 25 years experience as a technology entrepreneur, management consultant
and systems integrator in the information technology industry. He founded Sapura Advanced Systems
Sdn Bhd and has overseen the procurement and implementation of over 40 IT projects including for the
Kuala Lumpur International Airport Total Airport Management Systems, the Adam GSM cellular phone service,
and the Royal Malaysian Airforce. During the conceptualisation of the Malaysian Multimedia Super Corridor
(MSC) in 1996, Fauzi consulted with the Malaysian Government where he played a key role in providing thought
leadership in the design of the MSC and its flagship initiatives. In 1999 he founded a venture capital company,
First Floor Capital Sdn Bhd, of which he was a partner until 2007.
Ahmad Fauzi currently also holds directorships in Singularity Ventures Sdn Bhd, Insan Juta Sdn Bhd and Synamatix Sdn Bhd respectively.
Independent Non-Executive DirectorLoh Lee Soon

Loh Lee Soon is our Independent Non-Executive Director, having been appointed to the Board on 22 January 2010.
He is also the Chairman of our Audit Committee and a member of the Nomination Committee. He is a
member of the Malaysian Institute of Accountants and the Institute of Chartered Accountants in England and Wales.
Loh has nearly 30 years experience in the professional accounting, finance, and management consulting fields,
in the United Kingdom and South East Asia, including 6 years as Consulting Practice Director of a Big Four firm
in Malaysia. He has also held senior finance and general management positions with multinational and Malaysian
corporations, such as Tupperware International, Oracle Corporation, and the UEM group.
Loh is currently the Principal of his own consultancy firm which provides services in business process
optimisation, customer relationship management, and e-marketing. His clients span industries as diverse
as gaming, retail management, supply chain logistics, and property development.
